BitFinder shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrori
sm, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

By submitting any ideas, suggestions, or feedback, you agree that BitFinder is free to use them without any obligation to provide compensation or attribution, and you waive any claim to intellectual property rights in such materials.
20. Dispute Resolution
Any disputes arising out of or in connection with these Terms and Conditions or your use of the Services shall be resolved through good faith negotiations between the parties. If such negotiations fail to resolve the dispute within thirty (30) days, either party may initiate binding arbitration under the rules of a recognized arbitration institution in the jurisdiction where BitFinder is based. The arbitrator's decision shall be final and binding on both parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Any notices or other communications required or permitted under these Terms and Conditions shall be in writing and shall be deemed given when delivered personally, sent by email, or sent by certified mail, postage prepaid, return receipt requested, addressed to the other party at the address or email address specified during registration or as subsequently updated.

You agree to comply with all applicable local, state, national, and international laws and regulations in your use of the Services, and you acknowledge that you are solely responsible for your compliance with such laws and regulations.

hese Terms and Conditions have been drafted in English, and the English version shall control in the event of any conflict with translations into other languages.
25. Survival
Any provisions of these Terms and Conditions that, by their nature, should survive termination or expiration of these Terms and Conditions shall continue in full force and effect following such termination or expiration, including but not limited to Sections 4 (Intellectual Property), 5 (Disclaimer of Warranties), 6 (Limitation of Liability), 7 (Indemnification), 8 (Governing Law), and 20 (Dispute Resolution).
The Purchaser's Representations and Warranties
By participating in this deal, the Purchaser represents and warrants the following:
1. Compliance: The Purchaser will comply with anti-corruption, anti-bribery, anti-money laundering, and payment services rules, as well as Know Your Customer (KYC) procedures, laws, and regulations applicable to its activities. The Company will verify this compliance before finalizing the deal.
2. Legal Standing: The Purchaser is in good standing and validly existing under the laws of the jurisdiction in which it is incorporated.
3. Authority and Obligations: The Purchaser has the full right, power, legal capacity, and authority to enter into this deal and perform its obligations under the Terms & Conditions. The Purchaser's participation in this deal will not conflict with or breach any other agreement to which it is a party or its constitutional documents.
4. Whitepaper Understanding: The Purchaser has received a copy of the current Whitepaper related to the Tokens and has carefully read it. The Purchaser acknowledges and consents that the Whitepaper may change before the delivery of the Tokens. The Purchaser accepts the obligation to promptly review new versions of the Whitepaper, which will be made available through the Company's website.
5. Token Rights: The Purchaser understands that the Tokens only grant the right to utilize them and do not provide any other rights, including voting, distribution, redemption, liquidation, proprietary (including intellectual property), access to financial statements, participation in shareholder meetings, or the nomination of a director in the Company.
6. Legally Binding: The Terms & Conditions constitute legal, valid, and binding obligations of the Company under its governing law. These obligations are enforceable against the Company according to the terms outlined.
7. Compliance with Laws: The execution and delivery of the Terms & Conditions, as well as the performance of obligations herein, do not violate any mandatory requirements of applicable legislation or any contractual obligations to which the Purchaser is subject.
8. Sanctions and Restricted Entities: The Purchaser, its subsidiaries, directors, officers, employees, agents, affiliates, or any person having a direct or indirect beneficial interest in the Purchaser or the Tokens being acquired by the Purchaser, are not subject to any sanctions administered or enforced by any country or government or international authority. The Purchaser is not located, organized, a citizen, or resident in a sanctioned country or territory. The Purchaser is not listed in any sanctioned persons' list, including those maintained under Sanctions. The Purchaser is not a citizen or resident of, or located in, a geographic area or country designated as "High-risk and other monitored jurisdictions" by the Financial Action Task Force. The Purchaser is not directly or indirectly owned or controlled by any person subject to the aforementioned restrictions.
9. Updated Information: The Purchaser agrees to promptly inform the Company if its country of residence or other circumstances change, rendering the above representations inaccurate. In such cases, the Purchaser will immediately cease using the Tokens.
10. Information Provision: The Purchaser acknowledges and undertakes to provide the Company with any necessary or appropriate information to ensure compliance with all applicable laws. This includes compliance with the representations outlined in this clause and addressing inquiries from regulatory authorities, courts, or arbitral authorities in any jurisdiction.
11. The Purchaser further confirms that it is not a U.S. Person, nor a citizen, resident, or legal entity of the United States of America, the People's Republic of China, Afghanistan, Belarus, British Virgin Islands, Central African Republic, Congo, Democratic Republic of the Congo, Republic of C么te d'Ivoire, Crimea region of Ukraine, Cuba, El Salvador, Eswatini, Gambia, Iran, Iraq, Liberia, Libya, Malawi, Mali, Moldova, Myanmar, Niger, North Korea, Palestinian Territory, South Sudan, Sudan, Syria, Venezuela, Yemen, Zambia, Zimbabwe, or any state, country, or jurisdiction that is sanctioned and/or embargoed by the United States of America/ The Purchaser also confirms that it is not located in a jurisdiction where purchasing Tokens would be illegal according to local law or regulation, where the sale of Tokens is prohibited or contrary to local law or regulation, or where such purchase could subject the Company to local registration, regulatory, or licensing requirements.
